| 中文摘要 | 公司经理权制度在公司法中具有十分重要的地位，但在国内学术界却鲜有学者涉足。本文主要运用规范分析和比较研究的方法，对公司经理权的特征。范围与限制、经理权的行使准则、经理在公司管理结构中不同的地位配置对公司内部治理结构的影响、经理权的制约及其他相关问题进行了全面探讨，并在此基础上针对我国公司法中的相关部分提出了进一步加以完善的立法建议。 论文除前言外，共有四章： 前言从论述经理权在公司组织机构权力链条中的地位入手，指出在充分发挥经理的经营才干与降低代理成本之间寻找最佳平衡点是公司治理中一个困难而现实的问题。 第一章比较了不同法系对经理的界定，探讨了公司经理的法律地位及其与公司之间的法律关系。 第二章在剖析各国（地区）立法及学者观点的基础上，提出了自己对经理权的见解，并深入探讨了经理权的特征、范围和限制及经理权行使的准则。 第三章在详细地比较各国（地区）在经理权制度上的立法例、立法模式、经理在其公司管理结构中的地位配置之后，检讨了我国公司经理权制度的立法情况及其可能给我国公司的内部治理结构带来的问题，此外，还探讨了经理权的制约问题及其改进措施。 第四章专门论述了完善我国经理权制度的指导思想、基本原则和应采取的立法措施。The system of power of the manager in corporation is very important to Corporation Law. But few people have studied it in our country .Through analyzing legal norm and comparative methods. this paper probes into the character, the scope and the limit, the regulation when using the power， the influence on the organic mechanism when the manager is in various places, the restriction. and other questions. on this basis, it puts forward some suggestions to better our country's Corporation Law. This paper consists of four chapters besides Preface: Preface starts from the place of the power of the manager in the power chain in the organic mechanism in corporation, then points out that searching for the balance between making the manager work hard and reduce the agent cost is difficult and practical Chapter One compares various definitions between civil law system and common law system ，then probes into the place in law of the manager of corporation and the relation between the manager and the corporation Chapter Two, on the basis of analyzing laws in some countries and some people's opinions， states my opinions and probes into the characters, the scope,the limit of power of the manager, and the regulation when using the power Chapter Three compares in detail laws in various countries, the pattern of law and the manager's place in the organic mechanism, then discusses our country's situation and existing problems. Besides, It discusses how to restrict the power of the manager and how to improve it Chapter Four specially states the guiding ideology, basic principles and legislative measures so that we can improve our country's Corporation Law. |
